How Voting Will Work:
Full members in good standing are eligible to vote, and a quorum consists of a minimum of ten (10) percent of dues paying members in good standing and include at least one officer. A quorum is necessary to transact business at a regular, annual, or special meeting of the Corporation. Each qualified member is entitled to one vote. No member shall vote by proxy.

Q: Why are we updating these documents?
A: To modernize the Club’s governance, separate foundational governance from operating rules, protect nonprofit/tax-exempt status, and make future updates easier.
Q: Does this change who can fly Club aircraft?
A: Not directly. Flying eligibility remains governed by Operating Rules, FAA requirements, insurance requirements, checkout, currency, payment status, and Board-approved procedures.
Q: Does this change aircraft scheduling?
A: Not directly. Scheduling is an Operating Rules matter. The Board will continue to approve and update Operating Rules separately.
Q: Who approves the Charter and Bylaws?
A: Voting members vote on the Charter and Bylaws.
Q: Who approves the Operating Rules?
A: The Board approves, amends, interprets, and enforces Operating Rules under the Bylaws.
Q: Can Social Members vote?
A: No. Social Members are non-voting unless the Bylaws are amended otherwise.
Q: Can non-voting members speak at meetings?
A: Yes, when recognized by the presiding officer. They may not make motions, second motions, or vote.
Q: Can members force Board review of an issue?
A: A petition signed by at least 10% of voting members in good standing can require agenda placement and, for Board matters, formal Board review and recorded disposition.
Q: Are proxies allowed?
A: No. Proxy voting is not permitted.
Q: What happens after ratification?
A: The Charter and Bylaws become the member-approved governance documents. The Board will continue work on updated Operating Rules.
